These terms of sale are completed, on the one part by the company US STALLION EUROPE SL, VAT number B66207440, hereinafter called «THE SELLER»,

And, on the other part any individual or legal entity making a purchase on the seller's website or by direct order accepted and signed, hereinafter called the «THE BUYER»

This web site www.us-stallion.com has been published by the company «US STALLION EUROPE , SL», with registered office at: calle Floridablanca, no. 98, 08015 BARCELONA , Spain.

The company «US STALLION EUROPE, SL» is represented by Jean-François Boyer, with address at Chemin de la Croix de la Pluie 43300 LANGEAC, France. The web site will shortly be available for international orders.

PURPOSE The purpose of the terms of sale is to define the sales modalities between SELLER and BUYER following the confirmation of the order until the after-sales service, including the ordering process until the final delivery. Purchase of any goods or services on this web site US-STALLION.COM or a direct order that is accepted and signed implies unconditional acceptance by the BUYER under the current terms of sale. US STALLION EUROPE SL reserves the right to modify the terms of sale at any time; the applicable terms will be those which are in force at the time of the BUYER' order.

CHARACTERISTICS OF PROPOSED SERVICES AND GOODS The proposed products and services are the ones shown on the web site of US-STALLION.COM, in the catalogue of textiles and accessories for embroidering, and the items made to measure, which have been accepted and signed. The photographs are a true reproduction of the original products. We cannot however guarantee that they are exact, especially as regards the colour shades. The photographs and texts of US-STALLION.COM web site and the catalogue on clothes and accessories for embroidering are not binding and are offered by way of information only. SELLER assumes no liability for any non-compliance with the exact reproduction of images and text published on the web site of US-STALLION.COM regarding the product ordered and the product sent.

THE TARIFFS The prices of the products are shown in euros, including tax. They include the valid VAT rate in Spain and any contingent reductions applicable at the time of the order, excluding packing and shipping costs. US STALLION SL reserves the right to modify prices at any time. The prices applied on your order will be the ones indicated in the order confirmation.

SHIPPING COSTS The shipping costs include the processing, packing and freight costs and are subject to increases in the official postal rates. Shipping and handling charges are shown, considering the information provided by the customer regarding the place of delivery.

GEOGRAPHIC ZONE On-line sale of products and services shown on the web site of US STALLION.COM is reserved to buyers who reside in the European Union and for shipments required in that geographic area.

PURCHASE ORDER To send an order requisition, the customers should use their e-mail address or customer number and password to identify themselves. For first orders, customers should follow the procedure for creating an account indicated on the web site. If you lose or can't remember your password, you may ask for a new one entering your customer account and clicking on «I can't remember my password». You will then receive your new password at the e-mail address you gave when registering. You may also contact the customer service by sending an e-mail to: usstallionsav@gmail.com. As soon as you confirm your basket, you should accept the general terms, choose your address and shipping method and lastly validate the form of payment. This last stage completes the sales agreement between US STALLION EUROPE SL and the Customer. For payments made with cheque, the order will be considered validated as soon as receipt of payment is confirmed. All products shall remain the property of US STALLION EUROPE SL until payment in full has been received from the Customer. All validated orders imply the full acceptance of prices and descriptions of available products on sale and acceptance of the terms of sale, acknowledgement of fully understanding them and waiver of use of any other own terms and conditions. US STALLION EUROPE SL will acknowledge receipt of the order once it has been confirmed by sending an e-mail. In certain cases, mainly in case of non-payment, wrong address or any other problem in the user's account, US STALLION EUROPE SL reserves the right to block the order until the user has resolved the problem. US STALLION EUROPE SL assumes no responsibility for errors in address or any other information which may provoke a delay in delivery by the postal service. If the product ordered by the user is not available, this will be notified by e-mail. The order will be cancelled and the money reimbursed (only products available at the time of placing the order may be charged, when the customer objects to deferred products) and the rest of the order shall remain closed and final. US STALLION EUROPE SL reserves the right to cancel an order in progress in the event of force majeure, impossibility to supply as consequence of its purveyors, industrial disputes or partial unemployment at the purveyor companies, breach by the purveyor, by a sub-contractor or by a supplier.

RIGHT OF WAIVER THE BUYER has the right to notify the seller that it waives its purchase, without any penalty and without stating the reason within a term of 14 days from the date following the day on which the order is delivered or the contract for the service provided is terminated. This right of waiver does not include the buyer of personalised products or the professional buyer. In that term, THE BUYER shall notify US STALLION EUROPE SL by e-mail of its intention to waive the purchase, at its own expense, risk and costs. The goods will be returned to the registered office of US STALLION EUROPE SL for orders in Spanish territory or US STALLION Chemin de la Croix de la Pluie 43300 LANGEAC for the French territory. Goods will imperatively be sent in their original packing, in a good condition and without damages, accompanied by the invoice and the original delivery note. Incomplete goods, in a poor condition, soiled or damaged by the customer shall not be accepted. Within a term of thirty days from accepting the returned goods, US STALLION EUROPE SL undertakes to reimburse the product, except shipping costs.

CHANGES Changes are not possible for personalised products. The customer has a term of seven days to request a change. The shipping costs for returned goods will be payable by the customer (see section 05 above regarding terms for returning goods). Expenses incurred for returning the goods will be payable by the customer. Changes in size or colour may be allowed subject to stocks. An additional delay is possible if stocks of a product run out, and the refund will be made within thirty days.

THE GUARANTEES All products commercialised on the web site of US STALLION.COM are covered by the valid contract compliance guarantee in cases of normal use of the product for 1 year. During the initial 1-year guarantee term of the US STALLION products, expenses for returning, repairing or changing the goods will be paid by US STALLION EUROPE SL.

CLAUSE ON JURISDICTION For any litigation and disagreements, of any nature or cause, only the courts of Barcelona (Spain) shall be competent even in judgements of expedited matters, appeals on the guarantee or multiple claimants. US STALLION EUROPE SL reserves the right at all times to choose the competent jurisdiction.

PERSONAL DATA All personal data needed to process an order is preserved by US STALLION EUROPE SL and may be transferred to the companies that collaborate with US STALLION EUROPE SL when necessary to process an order. The user likewise authorises US STALLION EUROPE SL to use that personal data to establish statistics in order to improve its web site, goods and the services which it proposes. That information may be used at any time to allow the dissemination, by any media, of the information concerning the trade activities of US STALLION EUROPE SL with its Customers.

FORM OF PAYMENT The customer may use the following forms of payment for its orders:

CREDIT CARD: Credit card ("Carte bleue"), Visa, Mastercard, American Express. The amount is debited in the user's account once the goods are available and ready for shipment. if the Products are out of stock or not available, the amount of the goods will be debited once the goods have been sent.

PAYPAL : If the PayPal option is chosen, the user will automatically be referred to its PayPal account or payment with bank letter. Once the PayPal payment has been validated, the user may complete its order on the US STALION web site.

CHEQUE: Payable to the beneficiary US STALLION EUROPE SL . Do not forget to sign and to send it promptly to the company's registered office or else to: US STALLION Chemin de la Croix de la Pluie 43300 Langeac in French territory.

BANK TRANSFER You may pay by bank transfer. At the end of your order, if you choose this payment method, you can access a summary page containing the coordinates which you should use to make the transfer by your bank entity.

COPYRIGHT All web site items are protected by copyright, trademarks and patents. The trademarks, logotypes, designs and models shown on the web site are likewise the exclusive property of Jean-François Boyer. Their dissemination shall in no event be understood as a licence agreement or right of use of any of those trademarks, models, patents and/or distinguishing signs protected by copyright. They cannot therefore be used under penalty of perjury. Likewise, none of the elements that come from the web site may be copied, reproduced, re-edited, downloaded, transferred or distributed in any way. A copy of the documents may however be downloaded in a PC for the customer's personal use and only for non-commercial purposes, provided the information obtained is not modified, and that all the copyrights and property mentions are kept intact. Any modifications in these documents or in their use for any other purpose represents a breach in the copyright of Jean-François Boyer. The user who has a web site for personal use and wishes to put a simple link on his web site, for his personal use, that directly forwards to the start page of the web site, shall necessarily ask US STALLION EUROPE SL for permission. In no event shall it be considered an implicit affiliation agreement Any hyperlink that forwards to the web site and uses the framing or in-link linking technique is strictly forbidden. In all events, any link shall be withdrawn at the mere request of US STALLION EUROPE SL.
